By-laws of the Bastrop Senior Golf Association

As of this 7th day of February 2017 the By-Laws have been updated and supersede any prior By-Laws

The Bastrop Seniors Golf Association (BSGA) is a voluntary, non-profit, non-taxable association of persons of the age of 55 and over to associate in the game of golf by arranging for tournament play and an annual banquet. These by-laws continue the recognition and authorities of the Bastrop Senior Golf Association.

Membership – All persons age 55 and above may become members:

Cost of membership – Each player, other than “guests” shall timely pay $20.00 a season to the BSGA.  Spouses of members shall pay $10.00 a season. In addition to membership dues, there is a required entry fee of $5. The BSGA is hereby authorized to receive said funds for membership.  The annual membership is from November 1 – October 31.

Use of funds collected by BSGA from players (guests and members)

All funds collected from BSGA members and guests shall be used as follows: (1) To pay winning teams each tournament; (2) to pay individuals who have won  a closest-to-the-pin on designated holes; (3) to provide an annual membership and guests banquet; (4) any banking fees necessary for an account for the association; (5) any fees/bills/debts relating to a website of the BSGA not to exceed $200.00 a year; (6) prize money in an amount to be determined with advice of the Treasurer to any member scoring a hole-in-one during tournament play. The discretion as to how many winning teams shall be paid each tournament shall be in the sole discretion of the Tournament Director. (Commentary) Custom is that teams finishing 1st, 2nd, and 3rd should receive a money prize; however because the number of players each tournament varies and because on occasion there are many teams tied, it is impractical to pay each; therefore the discretion as to how many winning teams shall be paid each tournament shall be in the sole discretion of the Tournament Director.

There shall be no remuneration for Board/Officers. Any other expenditures may be authorized solely by approval of the board.

Publishing:

The board is the leadership of the association, and by virtue thereby, shall establish the Rules of Play. The board shall publish those rules of play so that all members may have knowledge of them for conformity. The Rules of Play shall be published on the BSGA website. The board deems that publishing of the rules by written copies to each member, other than by posting on a BSGA website, may be impractical; therefore, publishing may be constituted by oral announcement to the players attending a tournament, and may be limited to those rules deemed necessary at the time by the Tournament Director or his designee. Any player seeking to see a copy of the written rules may have an opportunity to view them at an appropriate time.

Enforcement of Rules of Play:

Enforcement of the Rules of Play is within the sole and sound discretion of the Tournament Director or his/her designees. If the Tournament Director deems it helpful to consult other board members present, then he/she may do so. If the Tournament Director deems it helpful to investigate any fact before making his/her ruling, then any member may be inquired upon, and the members are strongly encouraged to answer as to any factual basis

Sanctions:

Upon a finding by the Tournament Director of a violation of the Rules of Play that affected the score of a team(s), the Tournament Director, in his/her sole and sound discretion, may penalize by adding strokes or disqualifications. Sanctions shall be the last remedial effort, and applied only if no alternative fair resolution would suffice.

Rules of Play – (commentary) – when a rule of play is overboard so as to create confusion or doubt, or if a situation of play is not covered or addressed by a rule of play, then each member is charged within their own conscience to construe the situation so that the result will be one of fairness to all players in the tournament.

Rules of Play – (commentary) – Each player of each pairing of all the pairings in each tournament is strongly encouraged to timely uphold the rules of play and fairness in their interpretation, compliance and enforcement; and, in so doing, not place their sole reliance on the designated A player who otherwise leads the pairing.

Classification of Skill Level of Player:

Each player will be assigned an A, B, C, or D skill level. The board will ensure on-going discussions throughout the season as to the appropriate skill level assigned each person. The final authority as to the skill level of any player at any given time on any given tournament day abides with the Tournament Director. 

Policy as to Guests:

The Association virtuously holds members ties to their family as a paramount interest in the lives of each. Relationship ties to family are to be respected, and the Association wants to exist in a manner in which members are not segregated from their families in order to play on tournament days. The published Rules of Play shall contain provisions relating to the participation of familial guests and non-familial guests.

Board – Officers

Composition and Election:

The BSGA shall be governed by a Board. The Board members are a President, a Secretary, a Treasurer, a Tournament Director, a Web Master and one at-large Board member. The Board Members/Officers are elected by majority vote of the members of the association who attend the annual banquet which includes reports from members of the board and includes voting by the membership at large, i.e., those attending the banquet.

Tenure:

The tenure of the Board members is two (2) years. If, during the tenure of any board member, should he/she resign from their duties, for any reason, then the remainder of the board members, shall select at a Specially-Called meeting of the board, a replacement for the resigning board member. The replacement shall be picked by majority vote of the board, and in case of tie, the President shall break the tie. The replacement shall serve until the next annual meeting, when the position will be filled by majority vote of the members attending.

Powers, Duties, Responsibilities of Board and Officers:

Each Officer and Board Member – He/she shall be a member of the BSGA who has shown their dedication to the game of golf and to the Association. He/she shall be included and consulted in all board decisions as one vote to any board issue. Each shall discharge their responsibility to the Association and its Members so that the purpose of the Association is achieved.

President –

He/she or his/her designee shall preside over meetings of the Board. Any executive decision made during a time of necessity or emergency shall be operative only as interim pending a board decision. He/she may, but is not required, to break any tie vote of the board, and in doing so, must exercise sound discretion that benefits the Association as a whole. He/she shall broadly supervise and be responsible for execution of all of the purposes of the Association, as shall each board member. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Vice-President –

The Association operates without a position for Vice-President.

Secretary –

He/she or his/her designee shall keep minutes of each board meeting, and shall obtain approval of the minutes by the board members. The approval may be made by individual polling in person or otherwise by the Secretary of the board members. The Secretary shall be the custodian of the By-laws, the Rules of Play, Contracts with websites or banks, and any other legal or business documents of the Association. Any officer or board member may have a copy of any of the above-described documents. The secretary shall create and maintain copies of the schedule of tournaments for distribution to the Board, Webmaster, and Members upon request. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Treasurer –

He/she or his/her designee shall be responsible for the care and control of any monies paid into and disbursed from the Association. He/she is hereby empowered to open/maintain or maintain, as the case may be, a bank account for the Association in the name of the Association, and to deposit and withdraw Association funds as herein described, and to advise the board as to its status and amount; and further to arrange for signatories necessary on any such account. He/she is to be assisted by each member of the board in planning for the banquet as to application of funds in the account. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Tournament Director –

He/she or his/her designee shall register each player each tournament day, and ensure a fair method of selection of teams. He/she shall supervise the process of selecting the teams for the day. He/she shall be in charge of enforcing the rules of play. He/she will be the starter for the day of play supervising a shotgun start. He/she will have sole discretion on any given tournament day to amend for that day and that course any Rule of Play that is required for fairness due to weather, timing, condition of course, etc, and if so, will announce the same, after consultation with any board members present, at the time of starting. He/she will receive all scorecards at the end of play, and after verification, announce the winning teams and the winning closest-to-the-pin. In all of his/her duties, he/she may utilize the help of any member player or board member. He/she, after discussion with other members, has final authority on the day of play as to the skill level assigned to each player. (Commentary: Each player throughout the year may exhibit a range of skill levels due to many causes. E.g., a player with an injury that may be transient. Therefore, the Tournament Director has discretion in making changes to skill levels to ensure a fair selection of teams for that day. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Board Member at Large –

He/she shall be a member of the BSGA who has shown their dedication to the game of golf and to the Association. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Webmaster

He/she shall be a member of the BSGA who has shown their dedication to the game of golf and to the Association.  He/she shall have IT expertise.  The duties include maintaining the BSGA website and updating the material found there-in. The webmaster is also responsible for broadcasting tournament reminders, changes or cancellations to the members the day before tournaments are held. He/she shall be included and consulted in all board decisions as one vote to any board issue.

Substitution of Duties:

When it is impractical for any officer or board member to fulfill their duties at any given time on any given day, any other officer or board member is authorized and may discharge the absent officer/board members duties, except as to voting on issues (except as to proxy) and signing banking documents (except those already designated on bank records).

Notice of Board Meetings:

All six board members are entitled to 7-day notice of any specially-called board meeting (contra to annual meeting at Banquet) and said notice may be made orally, telephonically, electronically, or personally delivered, and shall apprise the member of the issue(s) to be considered. Any board member who wants the meeting rescheduled so that they may be included has a right to a rescheduling. Any board member may waive the 7-day requirement.

A board member who does not attend a called board meeting, may, if he or she desires, give his/her proxy to any other board member, as to voting on any stated issue. That proxy must be evidenced by some reliable means such as a note, an e-Mail, an electronic message, a phone call to a 3rd board member to verify, et al.

Calling of Special Sessions of the Board :

Any board member may initiate the call of a board meeting to discuss an issue of the Association needing attention. A board meeting is official if a minimum of 4 members are in attendance or if proxies are held by the attendees equating to 4 members.

Board Action and Emergency Actions :

The passage of a board action requires the “yes” support vote of four board members. If the board votes are tied on even issue, then the President may, but is not required, to break any tie vote of the board, and in doing so, must exercise sound discretion that benefits the Association as a whole. Any vote that results in a “tie vote” is to be presented to the members of the association for general vote.  Any executive decision made during a time of immediate necessity or emergency that may present itself, before the board can meet, shall be operative only as interim pending a board decision.

Revisions, Repeals, Amendments of By-Laws and other Decisions of the Board:

Any board member may call for consideration by the board revisions, repeals, amendments of by-laws and other decisions of the Board. Any such action of such consideration or re-consideration must be approved by four members for passage.

His/her designee:

The phrase his/her designee herein shall be construed as follows: In the absence of an officer/board member on any tournament day any other present officer/board member is considered to be the designee to fulfill the duties, regardless of the existence of an actual designation by the absent party.

Policy of Growth:

To encourage diversity in all areas (except age below 55), the Association promotes growth of membership.

(Commentary) – To address the reality of attrition due to all causes, new memberships are always welcome. Growth of membership increases diversity in all areas: skill levels, opportunities for increased camaraderie, competition, increased tournament field, and increased uniqueness of each person added.

Non-Discriminatory and Inclusion Clause:

The BSGA does not, will not, shall not discriminate against any person for any reason relating to gender, matters of faith, religion, disability, color, ethnicity, sexual orientation, or any other class or state protected by the Constitution of the United States, its laws, regulations, or court decisions. To the contrary, the BSGA proactively encourages membership and guests of all persons who enjoy the game of golf to come to the course and play in and with the Association.

Adoption of the By-Laws of the Bastrop Senior Golf Association.

The above-stated by-laws of the Bastrop Senior Golf Association are hereby adopted by the Board of the Association as evidenced by signatures of approval below.
